INTELLIFLEET™ DATA PROCESSING AGREEMENT (DPA)

This Data Processing Agreement (“DPA”) forms part of the IntelliFleet™ Terms of Service and governs the processing of Personal Data by IntelliFleet™ on behalf of its Customers.

This DPA is entered into between:

  • Customer (the entity using the IntelliFleet™ Service), and
  • IntelliFleet™ (“Processor”, “we”, “us”)

Together referred to as the “Parties”.

1. DEFINITIONS

Unless otherwise defined in this DPA, capitalized terms shall have the meanings given in the Terms of Service or applicable Data Protection Laws.

“Data Protection Laws” means all applicable privacy and data protection laws, including but not limited to:

  • GDPR (EU & UK)
  • Nigerian Data Protection Act (NDPA)
  • Kenya Data Protection Act
  • Ghana Data Protection Act
  • South Africa POPIA
  • Any other applicable national or regional data protection law

“Personal Data” means any information relating to an identified or identifiable natural person.

“Processing” means any operation performed on Personal Data, including collection, storage, use, transmission, or deletion.

2. ROLES OF THE PARTIES

2.1 Customer as Data Controller

The Customer is the Data Controller with respect to all Personal Data processed through the IntelliFleet™ platform relating to:

  • Drivers
  • Staff
  • Contractors
  • End users
  • Vehicles linked to individuals

The Customer determines the purpose of processing, the lawful basis for processing, data retention periods, and access permissions.

2.2 IntelliFleet™ as Data Processor

IntelliFleet™ acts as a Data Processor and processes Personal Data only on documented instructions from the Customer and solely for the purpose of providing the Service.

IntelliFleet™ does not decide whom to track, determine employment terms, or control consent between Customer and users.

3. SUBJECT MATTER & DURATION

  • Subject Matter: Provision of fleet management, GPS tracking, IoT telemetry, staff coordination, and analytics services.
  • Duration: For the duration of the Customer’s use of the IntelliFleet™ Service and until data deletion obligations are fulfilled.

4. NATURE & PURPOSE OF PROCESSING

Processing activities may include:

  • Collecting GPS and IoT data
  • Storing and transmitting location data
  • Processing route, trip, and asset telemetry
  • Providing dashboards, alerts, analytics, and reports
  • Supporting customer service and system diagnostics

5. TYPES OF PERSONAL DATA

Depending on Customer configuration, data processed may include:

  • Names and identifiers
  • Contact information
  • Driver or staff IDs
  • Vehicle assignment data
  • GPS location data
  • Route history and timestamps
  • Device identifiers
  • Usage and activity logs

6. CATEGORIES OF DATA SUBJECTS

  • Drivers
  • Fleet staff
  • Contractors
  • Dispatchers
  • Authorized system users

7. CUSTOMER OBLIGATIONS

The Customer warrants that it:

  1. Has a valid lawful basis for processing
  2. Has obtained all required notices and consents
  3. Complies with employment, labor, and privacy laws
  4. Provides clear disclosures to drivers and staff
  5. Issues lawful processing instructions to IntelliFleet™

8. INTELLIFLEET™ OBLIGATIONS

IntelliFleet™ shall:

  • Process Personal Data only on documented instructions
  • Ensure confidentiality of authorized personnel
  • Implement appropriate technical and organizational safeguards
  • Assist Customer with data subject access requests, data breach notifications, and compliance assessments (where reasonably possible)
  • Delete or return Personal Data upon termination (subject to legal requirements)

9. SECURITY MEASURES

IntelliFleet™ implements safeguards including but not limited to:

  • Access controls and authentication
  • Encryption in transit and at rest (where applicable)
  • Segregation of customer data
  • Secure infrastructure and monitoring
  • Regular security testing and reviews

10. SUBPROCESSORS

Customer authorizes IntelliFleet™ to engage subprocessors, including cloud infrastructure providers, data storage services, analytics and monitoring tools, and customer support systems.

IntelliFleet™ ensures subprocessors are bound by obligations no less protective than this DPA. A list of subprocessors may be provided upon request.

11. INTERNATIONAL DATA TRANSFERS

Personal Data may be processed outside the Customer’s jurisdiction. Where required, IntelliFleet™ ensures appropriate safeguards, including Standard Contractual Clauses (SCCs) or equivalent lawful transfer mechanisms.

12. DATA BREACH NOTIFICATION

IntelliFleet™ will notify the Customer without undue delay upon becoming aware of a Personal Data breach that may affect Customer data and will provide available information necessary to comply with legal obligations.

13. DATA RETENTION & DELETION

Upon termination of the Service:

  • Customer may request deletion or export of data
  • IntelliFleet™ will delete Personal Data within a reasonable time, unless retention is required by law
  • Aggregated or anonymized data may be retained

14. AUDIT RIGHTS

Upon reasonable written notice, Customer may audit IntelliFleet™’s compliance with this DPA, subject to confidentiality obligations, reasonable scope and frequency, and no access to other customers’ data.

15. LIABILITY

Each Party shall be liable for breaches of Data Protection Laws caused by its own actions or omissions. IntelliFleet™’s liability is subject to the limitations set out in the Terms of Service.

16. GOVERNING LAW

This DPA shall be governed by the same law and jurisdiction as the IntelliFleet™ Terms of Service, unless otherwise required by applicable Data Protection Laws.

17. ORDER OF PRECEDENCE

In case of conflict:

  1. This DPA
  2. Privacy Policy
  3. Terms of Service
